PAADA Terms and Conditions
Marketplace Acknowledgment, User Responsibilities, Assumption of Risk and Limitation of Liability
Last Updated: October 18, 2026
These Terms and Conditions constitute a legal agreement between PAADA LLC (“PAADA,” “we,” “us,” or “our”) and every person or organization that accesses or uses the PAADA website, mobile application, or related services.
This includes Enterprises, Contractor companies, Technicians, employees, authorized representatives, and all other registered users (“User” or “you”).
By creating an account, submitting or accepting a service request, assigning a technician, performing work, or otherwise using PAADA, you acknowledge that you have read, understood, and agreed to these Terms.
1. PAADA Is a Technology Marketplace
PAADA provides technology that connects Enterprises seeking services with independent Contractor companies and Technicians.
PAADA is not a contractor, subcontractor, construction manager, engineering firm, design professional, employer, staffing agency, insurance company, insurance broker, or provider of electrical, fire alarm, fire sprinkler, fire extinguisher, construction, repair, maintenance, or other field services.
PAADA does not perform, direct, supervise, control, inspect, approve, warrant, or guarantee work performed through the platform.
Agreements concerning scope, labor, materials, pricing, deposits, scheduling, permits, inspections, warranties, and project performance are made directly between the Enterprise and the Contractor performing the work.
2. License and Insurance Document Review
PAADA may require contractors and technicians to upload licenses, insurance certificates, registrations, certifications, permits, or other documents.
PAADA’s review is an administrative review of information submitted through the platform. Unless expressly stated otherwise in writing, PAADA does not independently authenticate documents with a government agency, licensing authority, insurance carrier, employer, or other third party.
A “Documents Reviewed,” “Approved,” or similar status means only that PAADA reviewed documents submitted by the User as of a particular date. It is not a representation, certification, endorsement, warranty, or guarantee that:
- A document is authentic, accurate, complete, or legally valid.
- A license, certification, registration, or policy remains active.
- A User is properly licensed for a particular location or scope of work.
- Insurance applies to a specific job, claim, loss, person, or event.
- Insurance limits are sufficient for a particular project.
- A policy has not been cancelled, suspended, modified, or allowed to expire.
- A contractor or technician is qualified or suitable for a particular job.
Enterprises remain responsible for independently verifying current licensing, insurance, qualifications, references, permits, and the Contractor's suitability before work begins.
3. Contractor Responsibilities
Each contractor and contractor company agrees that it will:
- Provide truthful, accurate, complete, and current information and documents.
- Maintain all licenses, permits, registrations, bonds, certifications, and insurance required by law.
- Immediately report expirations, cancellations, suspensions, restrictions, disciplinary actions, or material changes.
- Use only properly trained, qualified, authorized, and legally eligible personnel.
- Supervise and control its technicians, employees, agents, and subcontractors.
- Be responsible for wages, taxes, benefits, workers’ compensation, insurance, equipment, training, transportation, and workplace safety.
- Comply with applicable building, electrical, fire sprinkler, fire extinguisher, fire, life-safety, employment, licensing, and occupational-safety laws.
- Obtain required permits and inspections unless otherwise agreed in writing with the Enterprise.
- Clearly disclose scope, pricing, deposits, schedules, exclusions, materials, warranties, and change orders.
- Accept responsibility for the acts and omissions of its technicians, employees, agents, and subcontractors.
Contractors may not represent themselves as employees, agents, partners, franchisees, or authorized representatives of PAADA.
4. Technician Responsibilities
Each technician agrees that the technician will:
- Provide truthful and current identity, employment, licensing, training, and qualification information.
- Perform only work for which the technician is properly trained, authorized, and legally qualified.
- Follow applicable safety requirements, codes, permits, manufacturer instructions, and lawful jobsite rules.
- Report unsafe conditions, injuries, incidents, property damage, and work outside the technician’s qualifications.
- Accurately report arrival, job status, work performed, testing, materials used, and completion.
Technicians are not employees of PAADA. The contractor company assigning a technician remains responsible for supervision, compensation, insurance, workers’ compensation, safety, and legal compliance.
5. Enterprise Responsibilities
Each Enterprise agrees that it will:
- Request work only when authorized to do so at the identified property.
- Provide accurate information about the property, requested work, known hazards, access restrictions, and emergency conditions.
- Provide reasonably safe and lawful access to the worksite.
- Independently evaluate the contractor’s license, insurance, qualifications, price, scope, schedule, and suitability.
- Obtain any proposals, contracts, warranties, certificates of insurance, endorsements, bonds, or other protections it considers necessary.
- Not rely exclusively on a PAADA profile, approval, badge, rating, review, or document status.
- Pay amounts properly agreed upon with the contractor.
6. Contractor Selection and Private Invitations
When submitting a service request, an Enterprise may be offered one or more contractor-selection methods: First Available, Compare Hourly Rates, or Preferred Contractor.
- First Available: the request may be shown to eligible contractors, and the first eligible approved contractor to successfully accept it may receive the assignment.
- Compare Hourly Rates: eligible contractors may submit availability and pricing information, after which the Enterprise selects a contractor.
- Preferred Contractor: the Enterprise may privately invite one approved contractor. The request is not displayed to other contractors in the ordinary available-job marketplace while the private invitation remains active.
A Preferred Contractor invitation is not an assignment, promise, endorsement, or guarantee of acceptance or availability. The job is assigned only after the invited contractor successfully accepts it through PAADA. The invited contractor may decline, fail to respond, or be unavailable. Before acceptance, the Enterprise may cancel the request or use another selection method when that option is available. After acceptance, the normal cancellation, performance, invoicing, confirmation, payment, and dispute rules apply.
PAADA may disclose the job location, scope, contact information, and other details reasonably necessary for the invited contractor to evaluate and perform the request. Selecting or displaying a contractor does not mean that PAADA recommends, warrants, or guarantees that contractor's licensing, insurance, availability, price, workmanship, suitability, or performance.
6A. Fire Alarm Monitoring, Fire Sprinkler Testing, and Fire Extinguisher Inspections
Service Requests and Agreement Approval
PAADA service categories include Electric, Fire Alarm, Fire Sprinkler, and Fire Extinguisher. Service Calls use the available contractor-selection and hourly billing options. Monitoring is available for Fire Alarm services. Annual Testing covers Fire Alarm testing, Fire Sprinkler testing, and Fire Extinguisher inspections. Monitoring and Annual Testing requests are sent privately to the Preferred Contractor selected by the Enterprise.
Submitting a Monitoring or Annual Testing request does not activate monitoring, confirm an appointment, authorize work, or approve a price. The Contractor provides the proposed scope, price, service dates, payment terms, and exclusions for the Enterprise to review and approve.
A payment method is not required to submit the initial Monitoring or Annual Testing request. The Enterprise must provide a valid payment method when required to approve the agreement or authorize payment. Submitting the request alone does not charge the Enterprise.
Pricing and Additional Work
Monitoring is priced according to the approved monitoring agreement. Annual Testing, including Fire Extinguisher inspections, is priced according to the approved testing or inspection scope and price. The Service Call hourly rate, travel, timekeeping, and overtime rules do not automatically apply to either agreement service.
Repairs, replacement parts, batteries, additional devices, retesting, permits, authority filing charges, and other work are included only when expressly identified in the approved scope. Additional charges or changes to the scope require the Enterprise's authorization before that additional work is performed, except where applicable law requires otherwise.
Monitoring Activation and Continuity
PAADA is not a central station, alarm receiving center, emergency dispatch service, or monitoring provider. The Contractor is responsible for identifying the actual monitoring provider, the covered signals and communication services, activation requirements, and procedures for reporting outages or service interruptions.
An Approved status in PAADA records agreement approval. It does not establish that alarm signals are being received or that monitoring is operational. The Enterprise must obtain activation confirmation from the Contractor or monitoring provider before relying on the service. Existing monitoring must not be discontinued solely because a PAADA request or agreement has been approved.
The approved agreement must disclose the monthly price, start date, any end date, first invoice date, payment deadline, and any renewal, cancellation, or termination conditions. The parties must coordinate any transition or interruption of required monitoring and comply with applicable notification and protective-measure requirements. A PAADA account status or payment status does not confirm monitoring continuity.
Testing and Inspection Appointments and Changes
The testing or inspection due date and the approved appointment are separate. A proposed appointment or change is not confirmed until both parties agree. If the Enterprise requests a different date or time, the Contractor must accept it or propose an alternative. The existing approved appointment remains in effect unless the parties agree to change or cancel it.
Users must review appointment records and communicate changes promptly through available PAADA features or directly with the other party. Email, push notifications, and reminders are supplemental when available; delivery is not guaranteed. Silence or a missing notification is not acceptance of a proposed appointment change.
The Enterprise is responsible for arranging property access, authorized contacts, and required occupant or tenant notices. A rescheduled appointment does not extend an applicable testing or inspection deadline. Cancellation, missed-appointment, or rescheduling charges apply only when previously disclosed and agreed, subject to applicable law.
Testing, Inspections, Reports, and Deficiencies
The Contractor must use qualified personnel and perform the approved inspection and testing scope under applicable laws, adopted standards, manufacturer instructions, and requirements of the authority having jurisdiction. The Contractor must document inspected or tested equipment, results, deficiencies, inaccessible or untested equipment, and limitations, and provide the required report to the Enterprise.
The parties must coordinate testing with the monitoring provider and other affected parties when required. The Contractor must document system restoration and promptly report any condition preventing restoration. The responsible property parties must arrange required notifications, fire watch, repairs, or other protective measures.
A Completed status, testing report, invoice, or payment does not by itself certify that the entire system passed, that deficiencies were corrected, or that the property satisfies all fire and life-safety requirements. Inspection and testing do not guarantee future system performance or prevent fire, injury, or property loss.
Invoices, Fees, and Payment
Monitoring invoices follow the approved recurring service and billing terms. Approval of a monitoring agreement does not authorize unrelated charges. Recurring payment authorization must identify the billing amount or calculation, frequency, and applicable cancellation conditions.
For Annual Testing, the Contractor submits the final invoice after completing the agreed testing or inspection scope. The Enterprise must review the invoice and available testing or inspection report and confirm completion or promptly report a specific issue. Selecting Confirm & Pay Invoice authorizes the displayed Total to Pay, including the disclosed PAADA Enterprise fee.
PAADA Enterprise and Contractor fees, payment processing, payouts, refunds, and disputes remain subject to Sections 8 through 10, except where the approved agreement or displayed service-specific terms provide a different billing or review schedule. Automatic confirmation or recurring charges apply only where disclosed and authorized. Payment confirmation does not certify code compliance or waive rights that cannot legally be waived.
Fire Sprinkler Testing and Fire Extinguisher Locations
Fire Sprinkler testing requests identify the property, testing due date, and agreed scope. The Contractor verifies and records the next testing due date after completing the service.
A Fire Extinguisher inspection request may include multiple service locations. Each location has its own name, address, number of extinguishers when provided, and inspection due date. The Enterprise must provide accurate location details and initial inspection dates. After completing the inspection, the Contractor records the next inspection due date for every location. One location's date does not apply to all locations.
PAADA may send reminders to the Enterprise and Contractor approximately 30, 15, and 3 days before a recorded due date. Fire Extinguisher reminders use each location's recorded next inspection due date. Dates are supplied or confirmed by the participating Users; PAADA does not independently determine the required inspection interval. Reminders do not schedule an appointment or authorize work, and delivery is not guaranteed. Users remain responsible for tracking due dates and arranging timely service even if a reminder is not received.
Emergency Conditions
PAADA requests, messages, reminders, and appointment tools are not emergency reporting channels. For a fire or immediate danger, contact 911 or the appropriate emergency authority. For alarm troubles or monitoring interruptions, contact the Contractor or monitoring provider directly and follow the property's emergency procedures.
7. Pricing, Timekeeping, Multiple Technicians, and Overtime
Job pricing may include an agreed hourly rate, billable travel, regular labor, overtime labor, materials or other approved charges, applicable taxes, PAADA service fees, and other amounts displayed before payment. Unless otherwise stated, an hourly rate is charged per technician-hour, not per job or crew.
When two or more technicians work on the same job, each technician's recorded time may be added together. For example, two technicians working for one hour may produce two billable technician-hours. Time entries may be rounded to billing increments displayed by PAADA. Users are responsible for reviewing displayed time and charges promptly.
Unless a different rule is disclosed for a job, labor beyond eight aggregated technician-hours may be calculated as overtime at one and one-half times the agreed hourly rate. Overtime must be approved by the Enterprise before payment can continue. The Enterprise must approve the overtime or report a specific issue through PAADA without unreasonable delay.
Job status timestamps and technician check-ins are operational records and may not equal payroll records. An Enterprise may select no periodic check-ins or request available periodic progress confirmations. A missing check-in does not by itself establish that work was not performed, and a check-in does not certify quality, code compliance, or completion.
A technician may start, pause, restart, and later complete work on the same job, including work performed over multiple days or overnight. Only time recorded while work is actively started is included in labor time. Time recorded while work is paused is excluded. Selecting Completed means that technician's work is finished and submits the recorded active time for final billing and any applicable overtime calculation.
8. Enterprise Payment Method and Authorization
As a condition of submitting a service request or receiving services through PAADA, an Enterprise may be required to provide and maintain a valid payment method. Payment information is collected and processed by Stripe or another authorized payment processor. PAADA does not receive or store the full card number.
By adding a payment method and submitting a service request, the Enterprise authorizes PAADA and its payment processor to:
- Store or tokenize the payment method for future job-related charges.
- Verify the payment method and, when disclosed, place an authorization hold.
- Charge the final amount due after completion confirmation, automatic confirmation, or other authorization permitted by these Terms.
- Retry a failed payment and charge an updated or replacement payment method provided for the account.
- Process approved adjustments, refunds, reversals, disputes, and chargebacks.
The Enterprise represents that it is authorized to use each payment method supplied to PAADA. Removing a payment method or closing an account does not cancel amounts already earned, authorized, pending, or otherwise owed.
9. Final Invoice, Completion Confirmation, and Payment Timing
After all assigned Technicians mark a job completed, the Contractor must submit a final invoice through PAADA. The final invoice may include the recorded service and labor amount, materials, and sales or similar taxes calculated by the Contractor. The Contractor is responsible for the accuracy, documentation, and legal treatment of materials and taxes.
The Contractor must submit the final invoice within fifteen (15) calendar days after all assigned Technicians mark the job completed. If the final invoice is not submitted within that period, it may be marked as overdue. As a limited grace period, the Contractor may accept up to two (2) additional jobs or continue accepting jobs for seven (7) additional calendar days after the invoice becomes overdue, whichever occurs first. Existing assigned jobs may still be completed.
If the Contractor does not submit the final invoice before the grace period expires, PAADA may prevent the Contractor from accepting new jobs, close the invoicing period, and issue separate PAADA fee invoices to the Enterprise and the Contractor. These invoices may be calculated using the recorded service and labor amounts and the PAADA fee schedule applicable when the job was accepted. A PAADA-issued fee invoice covers only amounts owed to PAADA and does not replace the Contractor's final invoice for labor, materials, taxes, or other Contractor charges. The Contractor remains responsible for providing all legally required invoices and supporting documentation. Failure to submit the final invoice may delay or prevent Contractor payment or payout.
The Enterprise must review the final invoice, recorded time, crew, overtime, materials, taxes, and reported work. Unless PAADA displays a different deadline, the Enterprise has two (2) business days after the final invoice is submitted to confirm it or report a specific issue. Business days are counted Monday through Friday in Central Time. Weekends are excluded; public holidays are not excluded. The review period does not begin when a Technician merely marks work completed.
If an Enterprise does not confirm or pay a completed job, including applicable PAADA fees, within the required period, the amount may be marked as overdue. As a limited grace period, the Enterprise may submit up to two (2) additional service requests or continue submitting service requests for seven (7) additional calendar days after the amount becomes overdue, whichever occurs first. Existing jobs may continue to completion.
After the Enterprise grace period expires, PAADA may prevent the Enterprise from submitting new service requests until the overdue amount is resolved. Access to existing jobs, invoices, and related records will remain available. A payment or invoice subject to a timely and good-faith dispute will be handled under PAADA's dispute process and will not be treated as overdue while the dispute is under active review.
If no issue is reported within the review period, the job and final invoice may be automatically confirmed and the saved payment method may be charged. Automatic confirmation is a payment-processing event and does not waive non-waivable legal rights or any written contractor warranty.
A timely issue report may pause payment while relevant records are reviewed. Reporting an issue does not automatically create a refund, establish fault, or eliminate an obligation to pay undisputed amounts. PAADA may request photographs, invoices, communications, time records, inspection records, or other information from any User.
10. PAADA Fees, Contractor Payouts, Refunds, and Taxes
PAADA may charge an Enterprise service fee and may deduct a contractor platform fee from contractor earnings. Applicable rates or minimum fees are shown in the platform or job pricing details. PAADA may change fees prospectively, but a fee already recorded for a completed job will not be increased without a new authorization or a permitted adjustment.
PAADA may process one combined payment consisting of the contractor's final invoice plus the Enterprise PAADA service fee. From that payment, the payment processor may transfer the contractor invoice amount less the contractor PAADA platform fee to the contractor's connected account. Unless otherwise displayed, contractor platform fees apply to service or labor charges and not to contractor-reported sales tax. Enterprise service-fee calculations may include service and materials but exclude contractor-reported sales tax.
Before accepting jobs or receiving payouts, a contractor may be required to complete Stripe Connect onboarding, identity and business verification, tax information, and bank-account setup. A contractor is not entitled to payout until the Enterprise payment succeeds and applicable completion, overtime, fraud, dispute, reserve, and compliance requirements are satisfied.
Payout timing depends on payment settlement, Stripe processing, banking schedules, account verification, reserves, disputes, refunds, chargebacks, and applicable law. PAADA may delay, withhold, reverse, or offset a payout when reasonably necessary to address a failed payment, refund, chargeback, fraud concern, duplicate payment, legal requirement, or amount owed to PAADA.
Refunds and payment adjustments are determined from the job record, agreements between participating Users, applicable law, payment-network rules, and the circumstances of the request. Users agree to cooperate with payment inquiries and chargeback investigations and not knowingly submit false or duplicative disputes.
Each User is responsible for taxes, reporting, licenses, and other financial obligations arising from that User's activity. PAADA or its payment processor may collect tax information, issue required tax forms, withhold amounts, or collect and remit taxes when required by law.
11. No Guarantee of Quality, Price, Timing, or Results
PAADA does not set or guarantee contractor prices, estimates, deposits, labor rates, material costs, schedules, arrival times, response times, completion dates, workmanship, code compliance, inspection results, warranties, or suitability for a particular purpose.
PAADA does not guarantee that:
- A contractor or technician will accept, begin, or complete a job.
- A User will arrive at a scheduled time.
- A quoted price or completion date will remain unchanged.
- Work will be free from defects, delays, disputes, liens, additional costs, or interruptions.
- A permit or inspection will be approved.
- Emergency service will be immediately available.
- Reviews or ratings will predict future performance.
12. Workplace Safety, Injury, and Property Damage
Contractors and technicians are solely responsible for evaluating jobsite conditions and performing work safely.
PAADA is not responsible for jobsite supervision, lockout/tagout, fall protection, personal protective equipment, hazardous materials, energized equipment, confined spaces, fire watch, site security, traffic control, or other workplace-safety obligations.
To the fullest extent permitted by law, PAADA is not responsible for bodily injury, illness, disability, death, property damage, business interruption, loss of use, environmental damage, code violations, fire, water damage, electrical damage, theft, or other loss arising from:
- Work requested, accepted, assigned, performed, delayed, or not performed through PAADA.
- Acts or omissions of an Enterprise, Contractor, Technician, employee, subcontractor, property owner, occupant, or third party.
- Tools, equipment, vehicles, products, materials, or installations used at a jobsite.
- False, inaccurate, outdated, or incomplete information provided by a User.
- Unsafe, unknown, concealed, or undisclosed jobsite conditions.
13. Independent Relationship
Contractors are independent businesses and are not employees, agents, partners, joint venturers, representatives, or franchisees of PAADA.
Technicians are not employees of PAADA. No User has authority to enter into an agreement, make a representation, or create an obligation on behalf of PAADA.
14. Insurance
PAADA does not provide liability, workers’ compensation, automobile, property, professional, errors-and-omissions, builder’s-risk, cyber, or any other insurance for Users, jobs, or properties.
Displaying insurance information does not make PAADA an insured, additional insured, beneficiary, insurance agent, broker, or guarantor of coverage.
15. User Disputes
Disputes about workmanship, property damage, injuries, warranties, schedules, materials, employment or service performance remain between the participating Users. The Contractor and Enterprise should communicate promptly and preserve relevant records.
PAADA handles platform account, invoice and payment issues as described in Sections 6A and 9. A timely, specific issue report may pause payment or automatic confirmation while relevant records are reviewed. PAADA may request documents, facilitate communications or make a platform payment or account decision. These steps are administrative platform support; they do not make PAADA a court, arbitrator, insurer or guarantor of the Contractor's work.
A platform decision does not decide legal fault, finally resolve a claim between Users, or remove rights under applicable law. PAADA is not obligated to pay, defend or satisfy a claim arising from another User's work. This does not excuse PAADA from its own obligations concerning authorized payments, its stated issue-reporting process or applicable law.
For a dispute with PAADA, contact support@paada.net with the account email, relevant service number and a description of the issue. The parties may agree to voluntary mediation. Arbitration requires a separate written agreement identifying the applicable rules, costs and process. These Terms do not presently impose mandatory arbitration or waive class-action rights. Nothing here prevents a timely court filing, a small-claims action, a regulatory complaint or urgent protective relief.
16. Release and Limitation of Liability
To the fullest extent permitted by applicable law, each User releases PAADA and its owners, members, officers, employees, agents, affiliates, licensors, and service providers from claims arising from dealings, agreements, services, injuries, damages, payments, or disputes between Users.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAADA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.
Nothing in these Terms excludes liability that cannot legally be excluded or waived.
16A. Platform Availability and Warranty Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PAADA WEBSITE, MOBILE APPLICATION AND COORDINATION TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." PAADA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED.
PAADA does not guarantee uninterrupted or error-free access, delivery of every notification, compatibility with every device, or continuous availability of third-party payment, hosting, email or communications services. Maintenance, software errors, internet failures and third-party interruptions may affect the platform.
Users should maintain appropriate service records, check account and invoice information, and communicate directly when a notice or service deadline is important. A PAADA outage does not confirm, cancel or extend a service appointment, legal inspection deadline or monitoring obligation. PAADA is not the alarm monitoring provider; operational outages must be handled with the responsible Contractor or monitoring provider.
Subject to Section 16 and mandatory law, PAADA is not liable for losses resulting from unavailable platform functions, bugs or undelivered notifications to the extent such liability may lawfully be excluded. This provision does not authorize undisclosed charges or remove non-waivable remedies, PAADA's own legal duties, or applicable payment and privacy obligations.
17. Indemnification
Each User agrees, to the extent permitted by law, to defend, indemnify, and hold harmless PAADA and its owners, members, officers, employees, agents, affiliates, and service providers from claims, investigations, damages, judgments, penalties, fines, liens, losses, expenses, and reasonable attorneys’ fees caused by:
- The User’s work, acts, omissions, negligence, or misconduct.
- Bodily injury, death, property damage, or financial loss caused by the User.
- False, fraudulent, expired, suspended, or misleading documents or information.
- Licensing, insurance, permit, tax, employment, wage, workers’ compensation, or safety violations.
- Breach of an agreement with another User.
- Breach of these Terms or applicable law.
18. Account Suspension
PAADA may request updated documents and may restrict, suspend, or terminate accounts when documents expire, information appears inaccurate, complaints are received, safety concerns arise, or PAADA reasonably suspects a violation of these Terms or applicable law.
Account approval does not create a continuing obligation for PAADA to monitor every license, insurance policy, technician, job, or project.
19. Electronic Acceptance
By selecting the acceptance checkbox and clicking “Create Account,” “Accept,” “Continue,” “Submit,” or a similar button, the User:
- Confirms that the User has read and understood these Terms.
- Agrees to be legally bound by these Terms.
- Consents to electronic records and electronic signatures.
- Confirms authority to accept for the company or Enterprise represented.
- Authorizes PAADA to retain evidence of the acceptance.
PAADA may retain the User ID, account role, Terms version, acceptance date and time, IP address, and related technical information as evidence of acceptance.
20. Governing Law and Severability
These Terms shall be governed by applicable federal law and the laws of the State of Illinois, without regard to conflict-of-law principles.
If any provision is found invalid or unenforceable, it shall be enforced to the maximum extent permitted, and the remaining provisions shall remain effective.
Nothing in these Terms waives consumer, worker, privacy, safety, insurance, or other rights that cannot legally be waived. Mandatory protections of another applicable jurisdiction remain effective.
21. Prohibited Conduct and Acceptable Use
Users must not submit false identities or documents, impersonate another person, misrepresent licensing or insurance, manipulate billing or time records, commit fraud, harass or discriminate, expose another person's private information, or use PAADA for unlawful activity.
Do not upload malware, attempt unauthorized access, evade account restrictions, interfere with platform security, scrape personal information without authorization, send unrelated unsolicited messages using platform contact data, or create fake requests or reviews. Do not manipulate a service record or misstate work to avoid agreed platform charges. Lawful communications, protected reviews, emergency coordination and reporting to authorities are not prohibited by this provision.
22. Platform Ownership and Access License
PAADA and its licensors retain ownership of the platform software, design, branding, logos and related intellectual property. Subject to these Terms, PAADA grants Users a limited, non-exclusive, non-transferable license to access the platform for authorized service coordination while their account remains permitted.
Users may not copy, sell, sublicense, commercially redistribute or use PAADA branding without permission. Restrictions on reverse engineering, security testing or other uses apply only to the extent permitted by law and applicable open-source licenses. Users retain ownership of their own submitted content.
23. User Content and Operational License
You retain ownership of photographs, reports, descriptions, reviews and other content you submit. You represent that you have permission to submit it and authorize the sharing needed for the relevant service. Do not upload confidential or personal information unrelated to that service.
You grant PAADA a non-exclusive, royalty-free license to host, store, reproduce, format and display submitted content, and to share it with relevant participants and technical service providers, solely as reasonably needed to operate the platform, maintain service records, provide support, process payments and meet legal obligations. This license is not a transfer of ownership or a general license to use private job photographs in advertising.
PAADA may continue retaining and using records where reasonably needed for completed services, disputes, security, backups or legal obligations, as explained in the Privacy Policy. Public reviews may remain visible subject to applicable law and PAADA's review rules.
24. Ratings and Reviews
Reviews should describe the reviewer's actual service experience and distinguish factual statements from opinions. Users must not submit fabricated reviews, undisclosed incentivized endorsements, threats, unlawful content or another person's private information, or condition payment or refunds on an inaccurate review.
PAADA may moderate content that violates these rules or applicable law. A review will not be removed merely because it is negative. Nothing in these Terms prohibits honest reviews, penalizes a User for an honest opinion, requires transfer of review ownership or restricts lawful reporting to authorities. Ratings do not guarantee future performance.
25. Closing Your Account
A User may initiate account deletion through the account settings or another account-deletion function provided in the PAADA mobile application. PAADA may require reasonable identity or authority verification before completing the deletion. Users may also contact support@paada.net for assistance.
Account deletion does not erase charges already earned or authorized, cancel an existing Contractor agreement, terminate active alarm monitoring, or automatically end an ongoing service obligation.
PAADA may retain records that are reasonably required for payments, disputes, fraud prevention, security, tax, regulatory, or other legal obligations, consistent with the Privacy Policy and applicable law.
26. Entire Agreement and Changes
These Terms, the Privacy Policy and expressly approved platform-specific service and payment terms describe the agreement concerning use of PAADA. Contracts between Enterprises and Contractors govern their service scope, performance and warranties; they do not bind PAADA to obligations it has not expressly accepted.
A FAQ, marketing statement or platform support message does not override an expressly agreed service price or payment authorization. PAADA should keep those explanations consistent with these Terms. Changes apply prospectively, with notice and renewed acceptance when required. A new version does not retroactively authorize charges or remove rights that cannot legally be waived.
27. Notices, Assignment and Events Beyond Reasonable Control
PAADA may send routine account and service notices to the registered email address or through available platform functions. Users must keep contact information current. Legal or privacy notices to PAADA may be sent to the email or mailing address in Section 28. This provision does not replace a legally required method of formal service.
A User may not transfer an account or access rights without PAADA's consent, except where applicable law requires otherwise. PAADA may assign platform agreements in a merger, reorganization or transfer of its business, subject to applicable law, required notices and continuing privacy commitments.
A party is not responsible for delay caused by events beyond its reasonable control to the extent permitted by law, provided it takes reasonable steps to reduce the impact. This does not excuse amounts already owed, non-waivable legal duties, necessary protective measures for an impaired fire system, or Contractor obligations under a separate service agreement.

Required Acceptance
I have read and agree to the PAADA Terms and Conditions, Privacy Policy, and Marketplace Acknowledgment. I understand PAADA’s role as a technology marketplace, the limitations of document review, the independent relationship between Users, job pricing and timekeeping rules, payment authorization, completion and automatic confirmation, PAADA fees, contractor payouts, assumption of risk, release, indemnification, and limitations of liability. I confirm that I am at least 18 years old and authorized to accept these Terms for the account and organization I represent.
